Acceptance of Terms

Welcome to AuraDent LLC (“AuraDent”).

By creating an account, accessing, or using the AuraDent website, mobile application, platform, or related services, you agree to be bound by this Terms of Service & User Agreement (“Agreement”).

If you do not agree to these terms, do not use the AuraDent platform.

About AuraDent

AuraDent is a referral platform that facilitates connections between dental professionals and dental practices for temporary staffing assignments.

AuraDent is not:

  • A dental practice

  • A healthcare provider

  • An employer of dental professionals

  • A staffing agency acting as employer of record

  • A party to employment, independent contractor, or service arrangements between users

AuraDent’s role is limited to providing a platform that enables users to connect and communicate regarding professional opportunities.

User Eligibility

By using AuraDent, you represent that:

  • You are at least 18 years of age.

  • You have the legal authority to enter into this Agreement.

  • All information submitted is complete, accurate, truthful and up to date.

  • You will maintain the accuracy of your information.

Professional Profile Information

Users may create professional profiles containing information such as:

  • Name

  • Address and Contact Information

  • Professional credentials

  • Licensure information

  • Work history

  • Experience

  • Skills

  • Practice information

  • Photographs

  • Office information

By submitting profile information, you authorize AuraDent to display that information to authorized users of the platform for professional networking and opportunity-related purposes.

Accuracy of Information

Users are solely responsible for the accuracy and completeness of information submitted to AuraDent.

AuraDent does not independently verify all information provided by users and makes no guarantees regarding the accuracy of user-generated content.

License and Credential Attestation

Dental professionals using AuraDent represent and warrant that:

  • Their professional license is active and in good standing.

  • Required certifications are current.

  • They are legally authorized to perform services within their jurisdiction.

  • They will promptly update any material changes affecting their qualifications.

Dental Practice Attestation

Dental practices using AuraDent represent and warrant that:

  • They have authority to create and manage the account.

  • Information provided is accurate.

  • Compensation and opportunity information is truthful.

  • They will comply with applicable federal, state, and local laws.

Profile Photos, Logos, and Content

Users represent and warrant that they own or have permission to use any photographs, logos, trademarks, images, or content uploaded to AuraDent.

Users grant AuraDent a non-exclusive license to display such content within the platform for purposes of operating the service.

Privacy and Confidentiality

Use of AuraDent is subject to the AuraDent Privacy Policy and the terms of any additional agreement(s) entered into between AuraDent and the Dental Practice and/or AuraDent and the Hygienist.

Users agree to maintain the confidentiality of information obtained through the platform and comply with applicable privacy laws, including HIPAA, and any applicable other federal and state laws and regulations.

Prohibited Conduct

Users agree not to:

  • Provide false or misleading information.

  • Misrepresent credentials or qualifications.

  • Upload patient information or protected health information (PHI).

  • Share another user’s confidential information.

  • Use AuraDent for unlawful purposes.

  • Attempt unauthorized access to the platform.

  • Interfere with platform operations.

  • Harass, threaten, or abuse other users.

AuraDent reserves the right to suspend or terminate accounts engaging in prohibited conduct.

No Guarantee of Opportunities

AuraDent does not guarantee:

  • Employment

  • Placements

  • Referrals

  • Shift opportunities

  • Income

  • Business relationships

Participation on the platform does not guarantee that users will receive or fill opportunities.

User Responsibility

Users are solely responsible for:

  • Evaluating opportunities

  • Verifying information

  • Determining professional suitability

  • Complying with applicable laws and regulations

  • Conducting their own business and professional decisions

  • Making payments to other Users as required by separate arrangement

Limitation of Liability

To the fullest extent permitted by law, AuraDent shall not be liable for:

  • Employment decisions

  • Professional performance

  • User conduct

  • Business losses

  • Lost income

  • Indirect, incidental, special, consequential, or punitive damages arising from use of the platform

Users assume responsibility for their interactions with other users.

Account Suspension and Termination

AuraDent reserves the right to suspend, restrict, or terminate access to the platform at its sole discretion, including for violations of this Agreement.

Changes to the Platform

AuraDent may modify, suspend, or discontinue any portion of the platform and this Agreement at any time without prior notice.  Your continued use of the platform indicates your acceptance of any modified or new terms.

Governing Law

This Agreement shall be governed by the laws of the State of California without regard to conflict of law principles.
